Terms of Service

1Your account

You must be at least 18 and able to form a binding contract. Keep your login details secure and tell us promptly about any unauthorized use. You are responsible for activity under your account.

If you use the Service for an organization, you confirm that you have authority to accept these terms for it, and "you" includes that organization.

2The Service

We work to keep the Service useful, secure and available, but it will change over time. We may add, change or remove features. If we discontinue a paid Service, we will try to give at least 30 days' notice, let you export your content and refund prepaid fees for the period you will not receive.

3Subscriptions and renewal

The Service is sold as a subscription. The plan, price and billing period are shown before you buy. Your subscription renews automatically at the end of each billing period until you cancel it. We will remind you by email before an annual plan renews.

4Fees, taxes and price changes

You authorize us and our payment processor to charge your payment method at the start of each billing period. Fees exclude taxes unless we say otherwise, and we collect tax where the law requires it.

We will give you at least 30 days' notice before a price increase takes effect. The new price applies from your next renewal, and you can cancel before then.

5Failed payments

If a payment fails, we will let you know and may try again. If it stays unpaid, we may suspend your access until it is resolved, and may later cancel your subscription.

6Cancellation

You can cancel at any time. Your access continues until the end of the period you have paid for, and you will not be charged for the next billing period.

8Your content

You keep ownership of everything you provide to or connect with the Service ("Your Content"). You give us a limited licence to host, process and display Your Content only as needed to provide, secure and support the Service for you. You confirm that you have the right to provide it.

9Feedback

If you send us ideas or feedback, we may use them without restriction or payment to you.

10Acceptable use

You agree not to:

• break the law or infringe the rights of others
• send spam, or harass, defraud or harm anyone
• upload malware, or disrupt, probe or gain unauthorized access to the Service
• get around usage limits or security controls
• resell the Service, or copy or reverse engineer it, except where the law allows this
• use the Service to generate content that deceives people about who or what created it

11Connected accounts and third-party services

The Service may connect to accounts and services run by others, such as email or calendar providers. You choose what to connect and can disconnect it at any time. Those services are governed by their own terms, and we are not responsible for them or for changes that affect how they work with the Service.

12Automated output and no professional advice

The Service may use automated systems, including artificial intelligence, to organize information and prepare drafts or suggestions. This output may be incomplete or wrong. You are responsible for reviewing it before you send, rely on or act on it.

The Service does not provide legal, financial or professional advice and is not a substitute for a qualified professional.

13Our software

We own the Service and all related intellectual property. While your subscription is active, we give you a limited, non-exclusive, non-transferable right to use it under these terms.

14Suspension and termination

You can stop using the Service at any time. We may suspend or end your access if you materially breach these terms, if you create a risk or harm to us or others, or if the law requires it. Where we reasonably can, we will tell you first and give you a chance to export your content. Sections that by their nature should continue, including those on liability and disputes, survive termination.

15Disclaimer of warranties

To the fullest extent the law allows, the Service is provided "as is" and "as available". We disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not promise that the Service will be uninterrupted or error-free. This section does not affect rights you have by law that cannot be excluded.

16Limitation of liability

To the fullest extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill.

Our total liability for all claims relating to the Service is limited to the greater of the fees you paid us in the 12 months before the claim arose and US$100. Nothing in these terms limits liability that cannot be limited by law.

17Indemnity for business users

If you use the Service for a business or organization, you will defend and compensate us against third-party claims arising from Your Content or your breach of these terms, except to the extent we caused them.

18Governing law and disputes

Please email support@veydrum.com first, and we will try to resolve any dispute informally within 30 days.

These terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. The state and federal courts located in Delaware have exclusive jurisdiction. If you are a consumer, you keep any protections of the law where you live that cannot be waived, including any right to bring a claim in your local courts.

19General

These terms and the policies they refer to are the entire agreement between you and us about the Service. You may not transfer them without our consent; we may transfer them to an affiliate or to a successor to our business. If part of these terms cannot be enforced, the rest still applies. Not enforcing a right is not a waiver of it. We are not responsible for delays caused by events beyond our reasonable control. We may send notices to your account email or through the Service.

20Changes to these terms

We may update these terms. If a change is material, we will give at least 30 days' notice where we reasonably can. If you continue using the Service after a change takes effect, you accept it. If you do not agree, you can cancel before then.
